The issue in this matter is whether the Debtor was authorized to file for bankruptcy relief without the consent of certain shareholders.

The court ruled that the Debtor was authorized to file for bankruptcy relief under Delaware law and its charter because it was not prohibited from doing so without the consent of the shareholders. The charter required their consent to dissolve or liquidate.  Bankruptcy is not synonymous with either.
